Digital Products & Services Agreement

This Digital Products & Services Agreement (“Agreement”) governs the purchase, access, and use of digital products, memberships, educational materials, templates, training resources, and other services offered by CHEER GYM ADVANTAGE™ (“Cheer Gym Advantage,” “we,” “us,” or “our”).
By purchasing, subscribing to, accessing, downloading, or using any Cheer Gym Advantage product or service, you (“Customer,” “Member,” “User,” or “you”) acknowledge that you have read, understood, and agreed to this Agreement.
If you are purchasing or using our products on behalf of a business, cheerleading gym, organization, or other entity, you represent that you have authority to accept this Agreement on behalf of that entity.
- DIGITAL PRODUCTS AND SERVICES
Cheer Gym Advantage provides digital educational and business-development resources designed primarily for All Star Cheer gym owners, managers, directors, and staff.
Products and services may include, but are not limited to:
- The All Star Gym OS™
- The Growth Playbook™
- The Advantage Vault™
- Standard Operating Procedure templates
- Policies and procedure templates
- Employee training materials
- Staff onboarding resources
- Marketing and customer-acquisition materials
- Sales and enrollment resources
- Parent communication templates
- Financial-management resources
- Safety and incident documentation templates
- Athlete-protection resources
- Checklists
- Forms
- Reports
- Scripts
- Worksheets
- Business assessments
- Courses and training videos
- Membership content
- Downloadable documents
- Digital tools and other educational resources
Unless expressly stated otherwise, all Cheer Gym Advantage products are digital products. No physical product will be shipped.
- ALL SALES ARE FINAL — NO REFUNDS
Due to the immediate-access and digital nature of our products and services, ALL SALES ARE FINAL.
Once a digital product, course, membership, resource library, download, template, or other digital service has been purchased or access has been granted, we do not provide refunds, returns, exchanges, or credits, except where required by applicable law.
This policy applies whether or not you:
- Download the materials;
- Complete the course or training;
- Use the templates;
- Implement the information;
- Access all available resources;
- Achieve your desired business results; or
- Change your mind after purchasing.
Before purchasing, you are responsible for reviewing the product description and determining whether the product is appropriate for your business.
Nothing in this Agreement limits any refund, cancellation, or other consumer right that cannot lawfully be waived under applicable law.
- SUBSCRIPTIONS AND MEMBERSHIPS
Certain Cheer Gym Advantage products may be offered through recurring memberships or subscriptions.
When purchasing a recurring subscription, you authorize us and our payment processor to charge the applicable subscription fee according to the billing frequency disclosed at checkout until the subscription is canceled.
Unless otherwise stated at checkout, cancellation prevents future renewal charges but does not retroactively refund charges that have already been processed.
Access to subscription-only materials may terminate at the end of the applicable paid billing period following cancellation.
Specific pricing, renewal periods, cancellation procedures, and other subscription terms displayed at checkout are incorporated into this Agreement.
- EDUCATIONAL, DEMONSTRATION AND INFORMATIONAL PURPOSES ONLY
All information, materials, examples, policies, procedures, SOPs, forms, templates, scripts, checklists, recommendations, strategies, training materials, and other resources provided by Cheer Gym Advantage are supplied for educational, informational, demonstration, and example purposes only.
Our materials are intended to provide a starting framework that gym owners and operators can review, customize, and adapt to their own organizations.
They are not intended to be adopted blindly or used without appropriate professional and jurisdiction-specific review.
The fact that Cheer Gym Advantage provides a policy, SOP, form, procedure, recommendation, or template does not mean that it is legally required, legally sufficient, appropriate for your jurisdiction, compliant with your governing organization, or suitable for your particular business.
- NOT LEGAL ADVICE
Cheer Gym Advantage is not a law firm, and its materials do not constitute legal advice.
Nothing provided through Cheer Gym Advantage creates an attorney-client relationship.
Laws and regulations affecting youth sports businesses may vary significantly by federal, state, county, municipal, or other jurisdiction and may change over time.
Before implementing policies or procedures involving matters such as:
- Minors;
- Athlete protection;
- Abuse prevention and reporting;
- Background screening;
- Employment;
- Independent contractors;
- Wages and hours;
- Payroll;
- Discrimination or harassment;
- Accessibility;
- Privacy and data protection;
- Electronic communications;
- Photography and video;
- Waivers and releases;
- Contracts;
- Refunds and cancellations;
- Transportation;
- Facility operations;
- Emergency procedures;
- Record retention; or
- Other regulated activities,
you should consult a qualified attorney licensed in the jurisdiction in which your business operates.
- GOVERNING-BODY AND SANCTIONING-ORGANIZATION REQUIREMENTS
Cheerleading organizations, sanctioning bodies, event producers, insurance companies, membership organizations, and other governing entities may establish rules, policies, membership requirements, athlete-protection standards, credentialing requirements, competition rules, or other obligations applicable to your gym.
Cheer Gym Advantage materials do not replace those requirements.
You are solely responsible for identifying, understanding, monitoring, and complying with all rules and requirements applicable to your organization.
Where applicable, users should verify information directly with their current governing, membership, sanctioning, credentialing, or competition organization before implementing a Cheer Gym Advantage resource.
Because such standards can change, a Cheer Gym Advantage document should not be interpreted as confirmation of current compliance.
- SAFETY AND ATHLETE PROTECTION DISCLAIMER
Youth cheerleading, tumbling, stunting, conditioning, and related athletic activities involve inherent risks.
Cheer Gym Advantage may provide sample safety procedures, emergency protocols, injury documentation, athlete-protection policies, inspection forms, checklists, and related operational materials.
These materials are provided for educational and demonstration purposes only.
They do not constitute medical, emergency-response, risk-management, legal, insurance, safeguarding, or safety certification advice.
Each gym is responsible for establishing procedures appropriate to its:
- Facility;
- Equipment;
- Programs;
- Athletes;
- Staff qualifications;
- Governing-body requirements;
- Insurance requirements;
- Emergency services;
- Applicable laws; and
- Individual circumstances.
Safety and athlete-protection materials should be reviewed by appropriately qualified professionals before implementation.
- MEDICAL DISCLAIMER
Cheer Gym Advantage does not provide medical advice.
Information concerning injuries, suspected concussions, emergency response, return to participation, physical activity, or related health matters is educational only and should not replace the advice, diagnosis, treatment, clearance, or judgment of qualified healthcare professionals.
In an emergency, users should follow applicable emergency procedures and contact appropriate emergency services.
- INSURANCE AND RISK-MANAGEMENT REVIEW
Your insurance carrier may impose requirements that differ from or exceed recommendations contained in Cheer Gym Advantage materials.
You are responsible for maintaining appropriate insurance coverage for your business and determining the requirements of your insurance policies.
We recommend that relevant safety, transportation, facility, employee, athlete-protection, emergency, and risk-management procedures be reviewed with your insurance provider or qualified risk-management professional before implementation.
- TAX, ACCOUNTING AND FINANCIAL DISCLAIMER
Financial models, pricing strategies, profitability calculations, budgeting resources, payroll metrics, revenue projections, financial controls, and other financial materials provided by Cheer Gym Advantage are educational tools only.
They do not constitute accounting, tax, investment, or financial advice.
You should consult appropriately qualified accounting, tax, financial, or other professionals regarding your individual business circumstances.
- EMPLOYMENT AND HUMAN RESOURCES DISCLAIMER
Sample employee handbooks, job descriptions, disciplinary procedures, onboarding systems, training materials, compensation concepts, timekeeping procedures, performance-management systems, and other human-resource resources must be customized for your business.
Employment laws vary significantly by jurisdiction.
Before implementing employment-related policies, you should have the materials reviewed by a qualified employment attorney or human-resources professional familiar with the laws applicable to your organization.
- CUSTOMER RESPONSIBILITY FOR CUSTOMIZATION
Our templates are intended to be customized, not simply copied and implemented without review.
You are responsible for determining whether each resource is appropriate for your organization.
At a minimum, users should evaluate:
WHO is responsible for the procedure;
WHAT requirements apply to the organization;
WHEN the procedure should occur;
HOW the procedure should be performed;
WHICH laws, governing-body rules, insurance requirements, contracts, and professional standards apply; and
WHAT modifications are necessary for the gym's facility, programs, employees, athletes, and families.
The ultimate responsibility for adopting and implementing any Cheer Gym Advantage material remains with the customer.
- NO GUARANTEE OF BUSINESS RESULTS
Cheer Gym Advantage provides systems, strategies, tools, frameworks, and educational resources intended to help businesses improve their operations and growth efforts.
However, we do not guarantee any specific result.
We do not guarantee:
- Increased revenue;
- Increased profit;
- A specific number of athletes;
- Lead generation;
- Enrollment growth;
- Advertising performance;
- Customer retention;
- Staff performance;
- Competition results;
- Business expansion;
- Reduced expenses;
- Owner independence;
- Achievement of $1 million or any other revenue level; or
- Any particular return on investment.
Business results depend on numerous factors outside our control, including market conditions, competition, location, pricing, facility capacity, staffing, execution, reputation, customer demand, management ability, and economic conditions.
Examples, projections, benchmarks, case studies, scenarios, and financial illustrations should not be interpreted as promises of future results.
- INTELLECTUAL PROPERTY
Unless otherwise stated, Cheer Gym Advantage owns or licenses the intellectual property contained within its products and services.
Your purchase provides you with a limited, non-exclusive, non-transferable license to use the purchased materials for your own business's internal operations, subject to the terms of this Agreement.
Purchasing access does not transfer ownership of the underlying intellectual property to you.
- PERMITTED INTERNAL BUSINESS USE
Unless a particular product license states otherwise, purchasers may:
- Download eligible resources;
- Customize templates for their own gym;
- Add their gym's name and branding;
- Print resources for internal use;
- Provide relevant materials to employees working within their organization;
- Use forms and checklists as part of their internal operations; and
- Train their employees using appropriately licensed resources.
This permission is limited to the purchasing organization and its authorized personnel.
- PROHIBITED USE
You may not, without our prior written permission:
- Resell our materials;
- Redistribute them outside your organization;
- Share your account or login credentials with unauthorized users;
- Upload materials to public websites or shared resource libraries;
- Sell modified versions of our templates;
- Repackage our materials as your own commercial product;
- Use our resources to create a competing template, membership, course, consulting product, or resource library;
- Publish substantial portions of our proprietary materials online;
- Provide purchased materials to another gym, owner, consultant, or organization; or
- Remove proprietary notices for the purpose of representing our original materials as your own commercial intellectual property.
You may customize permitted materials for your own gym's internal operational use.
- ACCOUNT SECURITY
Where an account is required, you are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You may not share individual-access credentials with other businesses or unauthorized individuals.
We reserve the right to suspend or terminate access where we reasonably determine that an account is being shared, redistributed, copied, exploited, or otherwise used in violation of this Agreement.
- CONTENT UPDATES AND AVAILABILITY
Cheer Gym Advantage may periodically add, modify, replace, reorganize, or discontinue resources.
We may update materials as our educational content develops or as industry practices change.
However, we do not guarantee that any document reflects the latest applicable law, regulation, insurance requirement, governing-body rule, or industry standard.
Users remain responsible for verifying current requirements before implementation.
- THIRD-PARTY PRODUCTS AND SERVICES
Our materials may discuss or reference third-party software, platforms, payment processors, governing organizations, advertising platforms, service providers, or other businesses.
Such references do not necessarily constitute an endorsement.
Third-party products and services are governed by their own terms, policies, pricing, and requirements, which may change without notice.
Cheer Gym Advantage is not responsible for the availability, performance, policies, actions, or content of third-party services.
- LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Cheer Gym Advantage and its owners, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use or inability to use our products or services.
To the fullest extent permitted by law, our aggregate liability arising from a particular purchase will not exceed the amount actually paid by you to Cheer Gym Advantage for the product or service giving rise to the claim.
Nothing in this section excludes or limits liability that cannot legally be excluded or limited.
- INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Cheer Gym Advantage and its owners, employees, contractors, affiliates, and representatives from third-party claims, damages, liabilities, costs, and expenses arising from your implementation, modification, misuse, or operation of the materials, except to the extent caused by conduct for which indemnification cannot lawfully be required.
This provision should be interpreted and enforced only to the extent permitted under applicable law.
- TERMINATION OF ACCESS
We reserve the right to suspend or terminate access to Cheer Gym Advantage products or services where a user materially violates this Agreement, including unauthorized copying, distribution, resale, account sharing, infringement, fraudulent activity, or misuse of our intellectual property.
Termination for violation does not create a right to a refund except where applicable law requires otherwise.
- CHANGES TO THIS AGREEMENT
We may update this Agreement periodically.
The current version and effective date should be posted on the Cheer Gym Advantage website.
Where required by applicable law, material changes affecting existing subscriptions or contractual rights will be communicated or consent obtained as required.
- SEVERABILITY
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
